Nonprofit and Tax Exempt Organizations

We represent a wide range of nonprofit and tax exempt organizations including charitable organizations, churches and other religious organizations, social welfare organizations, civic organizations, agricultural organizations, trade associations, private foundations and public charities. Our nonprofit attorneys assist these clients in organizational design, obtaining tax exemption, business and tax planning, nonprofit sector compliance, corporate governance, and litigation matters. They also advise clients on operational matters such as information reporting and filing, private inurement issues, excess benefit transactions, unrelated business income taxation, executive compensation, labor and employment issues, and joint venture arrangements.

Based in Alabama’s state capital, we also represent a number of nonprofit trade associations and political groups. Our nonprofit attorneys advise these clients on lobbying and legislative issues, and they have significant experience working with local, county, and state legislative bodies and governments. In addition, our nonprofit attorneys advise clients on state and federal election law issues, and we have assisted a number of clients with the formation of state and federal political action committees and the preparation/filing of state and federal election reports with both the Alabama Elections Division and the Federal Election Commission.
