We represent a significant number of clients in merger, acquisition, and business disposition transactions. In addition to handling the purchase and sale of privately-held companies, our lawyers are skilled in representing companies in acquisitions by using equity securities and cash or debt instruments. Many of these transactions involve securities law considerations (e.g., registration or structured exempt transactions), complex tax questions, antitrust implications, and finance planning and implementation.
Our merger and acquisition attorneys discern and plan for the resolution of complex acquisition and sale issues, and they negotiate, draft, and implement merger agreements, purchase and sale agreements, and ancillary documents. We also serve as local counsel for national clients in transactions with Alabama law implications, offering solutions for issues arising out of the application of tax, securities, corporate, and other implications unique to Alabama.
