Corporate and Business Practice

We have long been recognized for our expertise in corporate and business law, consulting with and advising clients on entity and structuring choices for organizing, starting, continuing, financing, or acquiring businesses. We review the regulatory environment for particular businesses, analyzing proposed operations for litigation risks, corporate finance, and investor objectives. Our corporate and business practice lawyers have a wealth of legal experience in complex matters involving a variety of corporate finance techniques, shareholder agreements, operating agreements, partnership agreements, and other specialized instruments and agreements.

Our corporate and business lawyers also represent and advise corporations in corporate and company governance, regulations, shareholder and investor relationships and disputes, and in the structuring of employee benefit plans for clients’ specific needs. We regularly prepare joint venture agreements, organizational restructuring, dissolution of enterprises, and other corporate and company transactions.

We have also engaged in the formation of various levels of pass-thru entities, including securities offerings and the formation of pass-thru entities for tax credit and tax credit syndications.
